Company Liquidation (With Our Accounting)

Increase of LLC Charter Capital
Our specialist prepares all the necessary documents required for registering the relevant amendments to the company’s charter related to the increase of the authorized capital and sends them to you for signing. Upon receiving the original documents and power of attorney, they are submitted to the State Register Agency of Legal Entities of the Republic of Armenia. Once the amendments to the charter or its new edition, as well as the certificate confirming the increase of the authorized capital, are obtained, the originals are sent to you in your preferred way.
Change of director
Registration of a director (executive body head) change at the State Register — AMD 80,000, within 3-5 business days. We prepare the full document package (including the participant/meeting resolution or protocol and the power of attorney) and file the application within the agreed timeline. You receive an updated state registration certificate with the new director’s details.
Change of Participant
Registration of an LLC participant (shareholder) change when the share passes from one individual to another. Cost -AMD 150,000 (including AMD 30,000 state duty), turnaround 3–5 business days.
We prepare the full package: charter amendment, share assignment agreement, resolution/protocol, powers of attorney, and file it at the State Register.
Change of participant (individual to individual) — 380$
Change of participant (individual to legal entity) — 600$
Company name change
Registration of a company (corporate) name change at the State Register of Armenia – 300$, within 3-5 business days. A name change does not entail a new TIN or a new company registration — all previous details and accounts remain in place.
Sole proprietorship deregistration
Sole proprietor (IE) deregistration in Armenia via Haypost or the State Registry Agency — without your personal presence, within 1-2 business days, from AMD 100,000. If needed we provide consultation, draft a power of attorney and submit the deregistration application. The IE is deregistered the same day.
Company liquidation (No Prior Accounting)
Legal support for the full liquidation of a legal entity (LLC, CJSC, OJSC) in Armenia when accounting was handled by another firm – from AMD 400,000, around 3 months.
We publish the liquidation announcement at www.azdarar.am (at least 2 months), identify creditors, and prepare the interim and final liquidation balances.
